Reseller's License Agreement

Effective Date: 25 Nov 2024

Welcome to MRR Products Vault (the Provider). By accessing or using our Products, you agree to comply with and be bound by these Terms and Conditions as long as you remain a reseller of our products. If you do not agree with these Terms and Conditions, please do not use or access our Products.  If you are found to violate any of these Terms the Provider reserves the right to revoke your reseller License.

Definitions

- MRR Products Vault aka DigitalCreatorsVault (the Provider)
- You Refers to the individual, business entity, or organization
- The VIP Membership Vault Cost is $25 p/month
- The VIP Resellers License Cost is $10 p/month

Definition of License Types

Commercial (COM)
You are free to use our product for personal and commercial use. You can use our product (original) to create your own product and resell your created product, but it must be significantly different from our original product. Typically, you will use our product to create your own unique product for resell.

Private Label Resell Rights (PLR)
You are free to modify this product and resell it. You are only required to modify this product if you are reselling on Etsy. When you resell this product you are required to use your own Product images and wording (and not just copy ours). Your customers are NOT permitted to re-sell the product. Only you can re-sell the product.

Extended Private Label Resell Rights (EPLR)
You are free to modify this product and resell it with a PLR License for your customers if you choose. You are only required to modify this product if you are reselling on Etsy. When you resell this product you should use your own Product images and wording (and not just copy ours). Your customers can resell the product (if you choose) with or without PLR License (your choice)
Master Resell Rights (MRR)
You are free to re-sell the product AS-IS without modification. Your are free to chose if you pass on the MRR License to your customers. You can not give the product away for free. You can bundle the product if bundled with a paid product.

Master Resell Rights (MRR) + Private Label Resell Rights (PLR)
This combined license has the greatest freedom. We STRONGLY recommend you modify the product to at least suit your brand and colors, change some of the imagery to make it look unique. i.e. Change the product cover image on front page of ebooks.  You are required to use your own Product display images and wording when selling the product. You cannot use our product display images. You are free to offer Reseller rights MRR or PLR to your customers. This is your choice. You do not need to pass on MRR if you do not wish to i.e. you can sell the product with PLR only, or just commercial, or even personal use only.
Recurring Revenue Master Resell Rights (RRMRR)
You are free to re-sell the product as an entire suite of products. i.e. on subscription or within a membership site, however, there are the following terms:
You must NOT sell access to the products below the  VIP Membership Cost.
You are required to purchase a VIP Resellers License.
VIP Resellers License
The VIP Reseller License comes with RRMRR Rights.  This license is purchased separately from your VIP Membership subscription and allows you to resell the entire suite of products as a subscription membership where you keep 100% of the sale profits.  The cost also includes a support community.

 

Our Collections

All of our products and/or collections come with a resellers license based on any of the following:

Private Label Resell Rights (PLR)
Extended Private Label Resell Rights (EPLR) or
Master Resell Rights (MRR)
Master Resell Rights + Private Label Resell Rights (MRR+PLR)
Commercial (MRR+PLR)

Ready to Brand Collection - Master Resell Rights MRR+PLR
The TFT Collection - Master Resell Rights MRR+PLR
MRV Template Collection - Master Resell Rights MRR+PLR
Biz Growth Digital Products Library - Extended PLR
3rd Party - Each 3rd party product has their own related Resell rights attached to them. Please refer to each product individually for their licence.

Depending on the license attached to the Product or package you have purchased, you agree to adhere to the restrictions based on each license applied to the particular product or collection.

You must also check for a specified Minimum Advertising Price (MAP) which will be indicated on Premium products or 3rd party products.

Your permissions

Upon acquiring, downloading, accessing, using the Products from the Provider, you are granted a non-exclusive, non-transferable, and revocable license to resell these products to your customers. You may modify, rebrand, and sell the products as you see fit within the terms of this agreement.

You CAN modify almost all of the products (except 3rd party and some premium products)
You CAN Resell the products for 100% profits
You CAN bundle the products
You CAN sell the products individually
You CANNOT give the products away for Free

Fair Use Policy
Please use the resources we have provided in a way which doesn’t devalue them. This includes bundling significant volumes of products and pricing at well under market value, displaying the products in a way diminishes the market value, or creating memberships which are filled with unreasonable volumes of products.  In some cases on a per-product basis a minimum advertising price may be specified and must be adhered to.  You cannot rebuild and replicate the entire platform.  You are not permitted to sell "import files" or "template files" related to the products.

Fair Use - DFY Shopify Shop Product
For our DFY Shopify Shop product you are not permitted to copy the shop in it's entirety or sell copies of the shop.  The MRR License applies only to the Products and not the Shop itself.  You are not permitted to export the products for the purpose of distributing the exported file.  You can export products for the purpose of backup only.  You are required to adhere to all our general Reseller Terms.  You must adhere to the specified license types related to each collection.  i.e. The MRV Template Collection comes with MRR+EPLR License.  The Biz Growth digital product library comes with EPLR Resell rights.
You CAN edit and modify the products with your own branding, style etc.
You CAN resell the products individually or as bundles.
You CAN NOT give the products away for free.
You CAN resell the products based on subscription, as long as you retain a minimum price of  the Monthly VIP Membership AND you are required to purchase a VIP Resellers License.

VIP Membership / Subscription(s) - Entire Suite of products
We provide a subscription whereby you can access all non-premium products.  This freedom must adhere to the Fair Use Policy and any form of abuse could result in your access and resell license being revoked.
You CAN edit and modify the products with your own branding, style etc.
You CAN resell the products individually or as bundles.
You CAN provide our products to your members within a Paid Membership.
You CAN resell our products for a subscription but you must purchase our VIP Resellers License.
You CAN NOT give the products away for free.
VIP LifeTime Access
You CAN edit and modify the products with your own branding, style etc.
You CAN resell the products individually or as bundles.
You CAN provide our products to your members within a Paid Membership.
You CAN resell our products for a subscription without needed a VIP Resellers License.
You CAN NOT give the products away for free.
VIP Membership Subscription cancellation
You may cancel your membership at any time in your account admin area. Due to the nature of our products being digital downloadable files, we do not provide refunds for any of our products or subscriptions or any credit backs for unused time.
If your subscription membership is cancelled, you are no longer permitted to resell the products but you can use them for personal and commercial use.

The Provider's reserves the right to modify these terms
The provider reserves the right to remove access to the products, cancel a user’s membership and/or revoke a user's reseller license in the case of an intentional breach of terms, exploitation of systems, or violation of terms at the provider's discretion.  The Provider reserves the right to update our Terms & Conditions at any time without notice.
